Starting a Business


One of the first considerations a small business owner must make when launching a startup is whether or not to incorporate. In choosing the latter route, businesses are generally advised to incorporate within their home state - although it may initially seem like an attractive option to incorporate in another state such as Delaware or Nevada. By incorporating in a business' own state, however, the business owner keeps control over his or her company.

Additionally, owners should keep in mind the different levels of liability that each legal entity offers. Corporations and LLCs will offer the best protection. However, no structure will shield anyone entirely from personal liability. These legal entities also offer greater benefits in regards to access to capital.

"Corporations and LLCs have much greater flexibility in acquiring additional investments," Leonard DuBoff, author of The Law (In Plain English) for Small Business, said to Entrepreneur magazine.

"If that's important to you, that will [help] determine the entity you select," he added.

Other considerations to make include the tax implications associated with each business model and the amount of paperwork an owner is willing to do.
